TERMS & CONDITIONS
1. Professional Rules & Compliance
We undertake to comply with the professional and ethical standards required by our regulator and with all relevant laws, including the Companies Act, tax legislation, and Money Laundering Regulations.
2. Our Responsibilities
• We will carry out our work with reasonable skill and care.
• We will only provide services agreed in the engagement letter.
• We will not be responsible for any failure to advise or comment on any matter that falls outside the scope of our engagement.
• Deadlines will be met wherever possible; however, we cannot be held responsible for delays caused by late, incomplete, or inaccurate information provided by you.
3. Your Responsibilities
• You are responsible for maintaining adequate accounting records and retaining documents to meet statutory requirements.
• You must provide complete, accurate, and timely information to enable us to perform our services.
• You are legally responsible for ensuring that your tax returns, accounts, and submissions are correct and submitted on time.
4. Fees & Payment Terms
• Fees are as set out in your engagement letter or proposal.
• Fixed-fee agreements will be confirmed in writing; otherwise, fees will be charged on the basis of time spent at our prevailing hourly rates.
• Invoices are payable within 14 days unless otherwise agreed.
• We reserve the right to suspend work or withhold submission of accounts/returns where fees remain unpaid.
5. Limitation of Liability
• Our liability for any claim, loss, or damage is limited to the amount of our professional indemnity insurance in force at the time.
• We will not be liable for losses caused by the supply of misleading, incomplete, or false information by you.
• We shall not be liable for any indirect or consequential losses.
6. Confidentiality & Data Protection
• We will keep all client information confidential, except as required by law or regulation.
• We comply with the UK GDPR and Data Protection Act.
• You consent to us holding and processing your personal data for the purposes of providing professional services. Our full Privacy Policy is available on request.
7. Anti-Money Laundering Compliance
We are required by law to obtain proof of identity and address for all clients. We may conduct electronic checks or request original documents. We are also obliged to report any suspicion of money laundering or terrorist financing to the National Crime Agency (NCA) without informing you if such a report is made.
8. Intellectual Property
All working papers, files, and documents created by us during the engagement remain our property. You are entitled to copies of final deliverables (e.g. accounts, tax returns) once all fees have been paid.
9. Complaints Procedure
If you are dissatisfied with our services, please raise the matter with the Director in the first instance. If we are unable to resolve the issue, you may escalate the complaint to our professional body, ACCA, which operates a complaints procedure.
10. Termination
Either party may terminate the engagement by giving 30 days’ written notice. Fees for work performed up to the date of termination remain payable.
11. Governing Law
These Terms of Business, together with your engagement letter, are governed by the laws of England and Wales, and any disputes will be subject to
the exclusive jurisdiction of the English courts.
